The judge was satisfied with their responses, as indicated in her <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.cand.474157\/gov.uscourts.cand.474157.266.0.pdf\" data-type=\"link\" data-id=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.cand.474157\/gov.uscourts.cand.474157.266.0.pdf\">four-page order<\/a> on Wednesday.<\/p>\n<div class=\"wex-inarticle-ad wex-inarticle-ad-art-dsk-inart-1\">\n<div class=\"wex-ad-wrap wex-ad-art-dsk-inart-1\" style=\"min-height:90px\"><span class=\"wex-ad-label\" hidden>Advertisement<\/span><\/p>\n<div id=\"div-gpt-ad-3182201-15\" data-wex-ad=\"art-dsk-inart-1\"><\/div>\n<\/div>\n<\/div>\n<div class=\"article-paywall\">\n<p class=\"wp-block-paragraph\">\u201cThe Court therefore finds that the proposed consent decree reflects a settlement between the parties that is a fair, reasonable, and good faith approach to address the competitive harms alleged in the Complaint, and does not violate the law or public policy,\u201d she wrote.<\/p>\n<p class=\"wp-block-paragraph\">A 12-state plaintiff coalition led by <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/california\/\" data-type=\"post_tag\" data-id=\"60\">California<\/a> announced the settlement early last week after holding discussions with representatives from the two film and television studios.<\/p>\n<p class=\"wp-block-paragraph\">The antitrust lawsuit that California Attorney General Rob Bonta spearheaded was short-lived. It was filed in July and would have gone to trial in March 2027 if an agreement hadn\u2019t been reached.<\/p>\n<div class=\"wex-inarticle-ad wex-inarticle-ad-art-dsk-inart-2\">\n<div class=\"wex-ad-wrap wex-ad-art-dsk-inart-2\" style=\"min-height:90px\"><span class=\"wex-ad-label\" hidden>Advertisement<\/span><\/p>\n<div id=\"div-gpt-ad-3182201-16\" data-wex-ad=\"art-dsk-inart-2\"><\/div>\n<\/div>\n<\/div>\n<p class=\"wp-block-paragraph\">Wednesday\u2019s ruling came just before the Oct. 1 \u201cticking fee\u201d deadline, which requires Paramount to pay Warner Bros. shareholders an estimated $7 million for every day that the <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/mergers-and-acquisitions\/\" data-type=\"post_tag\" data-id=\"616\">merger<\/a> is not consummated.<\/p>\n<p class=\"wp-block-paragraph\">The $111 billion transaction is set to close within the next week. Paramount has listed Oct. 6 as a tentative closing date in regulatory filings.<\/p>\n<p class=\"wp-block-paragraph\">After Martinez-Olguin\u2019s Sept. 24 court hearing, concerned parties that oppose the merger filed amicus curiae briefs urging the Biden-appointed judge to reject the settlement. Separately, Sen. <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/cory-booker\/\" data-type=\"post_tag\" data-id=\"501\">Cory Booker<\/a> (D-NJ) wrote a letter asking the judge to scrutinize the settlement thoroughly before making a decision. Martinez-Olguin found no reason to reject the settlement based on their objections.<\/p>\n<div class=\"wex-inarticle-ad wex-inarticle-ad-art-dsk-inart-3\">\n<div class=\"wex-ad-wrap wex-ad-art-dsk-inart-3\" style=\"min-height:90px\"><span class=\"wex-ad-label\" hidden>Advertisement<\/span><\/p>\n<div id=\"div-gpt-ad-3182201-17\" data-wex-ad=\"art-dsk-inart-3\"><\/div>\n<\/div>\n<\/div>\n<p class=\"wp-block-paragraph\">\u201cThese hopes and desires for the proposed consent decree to reach farther \u2014 to achieve more \u2014 do not rise to the level of legal violations upon which the Court can reject the parties\u2019 negotiated resolution,\u201d she said.<\/p>\n<p class=\"wp-block-paragraph\">After the judge\u2019s ruling, Paramount <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/ir.paramount.com\/news-releases\/news-release-details\/chairman-and-ceo-david-ellison-announces-ynon-kreiz-co-ceo\" data-type=\"link\" data-id=\"https:\/\/ir.paramount.com\/news-releases\/news-release-details\/chairman-and-ceo-david-ellison-announces-ynon-kreiz-co-ceo\">announced<\/a> the appointment of Mattel CEO Ynon Kreiz as the combined entity\u2019s co-CEO. Kreiz will work alongside Paramount CEO David Ellison in his new role at the to-be-merged company, starting Oct. 5. Paramount did not address the ruling in its statement, but expressed its hope in finally closing the merger.<\/p>\n<p class=\"wp-block-paragraph\">The deal has been in the works ever since Paramount outbid <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/netflix\/\" data-type=\"post_tag\" data-id=\"1727\">Netflix<\/a> to acquire Warner Bros. in February. The two news outlets will remain separate as an independent editorial board oversees them. It remains to be seen how the board will be implemented.<\/p>\n<p class=\"wp-block-paragraph\">For months, the merger has fueled concerns that Ellison would overhaul CNN in the same way he did to CBS News last year after Skydance acquired Paramount.
