The company argues that the ongoing litigation, which isn\u2019t expected to conclude until March 2027, is causing significant financial harm, including over $1 billion in ticking fees and delays in content investment, production, and employee morale. <\/p>\n<p>Paramount previously agreed to delay the merger until June 2027 to allow legal proceedings to unfold. The bond request relies on the Clayton Antitrust Act, which allows defendants to seek a bond to cover potential damages. Paramount contends that the court\u2019s preliminary injunction preventing the merger imposes significant costs without threatening competition in the market. <\/p>\n<p>The legal battle has intensified recent tensions, with Paramount CEO David Ellison threatening to relocate business out of California if settlement talks aren\u2019t initiated, which california\u2019s Attorney General Rob Bonta has dismissed as blackmail. Bonta has expressed willingness to settle but maintains that illegal activities must be addressed. U.S. district Judge Araceli Martinez-Olguin will review Paramount\u2019s motion for the bond in a court hearing scheduled for September 21. By the time it goes to trial next year, Paramount will have accrued over $1 billion in ticking fees.<\/p>\n<p class=\"wp-block-paragraph\">The defendant is allowed to request a bond under the Clayton Antitrust Act of 1914, which California Attorney General Rob Bonta is invoking to justify his antitrust lawsuit against the proposed merger. Thus, Paramount is taking advantage of the statutory bond requirement under the federal law.<\/p>\n<p class=\"wp-block-paragraph\">\u201cParamount is seeking a bond based on the straightforward calculation of the maximum potential ticking consideration and financing costs from this litigation. The antitrust case is the only regulatory obstacle left for the merger. On Friday, <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/mexico\/\" data-type=\"post_tag\" data-id=\"322\">Mexico<\/a> joined over 60 other foreign countries to approve the deal, with the <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/department-of-justice\/\" data-type=\"post_tag\" data-id=\"438\">Department of Justice<\/a> giving the merger its approval in June.
