Discovery, citing concerns that it would reduce competition, raise prices, and diminish content quality in film and television. Despite federal approval of the deal, Bonta argues it violates antitrust laws by potentially consolidating control over major film distributors, with only three companies expected to dominate 75% of major films. The lawsuit is backed by several other states, emphasizing fears of less diversity, creativity, and consumer choice in the industry. Meanwhile, Paramount considers relocating its headquarters and significant operations outside California, potentially moving its $30 billion planned investment amid ongoing industry and business migrations from the state due to high taxes and regulations.Paramount defends the merger, calling the lawsuit weak and asserting that competition will persist. The case highlights broader concerns about industry consolidation, regional economic shifts, and regulatory challenges.

California Democratic Attorney General Rob Bonta has filed a lawsuit to block the merger between Paramount and Warner Bros.
