The combined company will also control over one-quarter of the market for licensing basic cable television channels.<\/p>\n<p class=\"wp-block-paragraph\">Bonta argued that the merged corporation\u2019s increased control over media and entertainment would be bad for business because the multibillion-dollar transaction is anticompetitive in nature.<\/p>\n<p class=\"wp-block-paragraph\">\u201cThis merger, in short, would create a media behemoth,\u201d the lawsuit simply states.<\/p>\n<div class=\"wex-inarticle-ad wex-inarticle-ad-art-dsk-inart-2\">\n<div class=\"wex-ad-wrap wex-ad-art-dsk-inart-2\" style=\"min-height:90px\"><span class=\"wex-ad-label\" hidden>Advertisement<\/span><\/p>\n<div id=\"div-gpt-ad-3182201-16\" data-wex-ad=\"art-dsk-inart-2\"><\/div>\n<\/div>\n<\/div>\n<p class=\"wp-block-paragraph\">The plaintiffs are seeking a court order to permanently prohibit Paramount from acquiring Warner Bros. based on an alleged violation of Section 7 of the Clayton Act. The federal antitrust law bans mergers and acquisitions when they may be found to substantially lessen competition in a particular industry or create a monopoly.<\/p>\n<p class=\"wp-block-paragraph\">In a June 12 <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.justice.gov\/opa\/pr\/statement-department-justice-antitrust-division-closing-its-investigation-merger-paramount\" type=\"link\" id=\"https:\/\/www.justice.gov\/opa\/pr\/statement-department-justice-antitrust-division-closing-its-investigation-merger-paramount\">press release<\/a>, the DOJ Antitrust Division said the \u201ctransaction is not likely to result in harm to competition or American consumers\u201d following its eight-month investigation of the deal. The investigation initially focused on both bids respectively submitted by <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/paramount\/\" type=\"post_tag\" id=\"16440\">Paramount<\/a> and <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/netflix\/\" type=\"post_tag\" id=\"1727\">Netflix<\/a>, but the latter ultimately dropped out of the bidding war months before the DOJ investigation concluded.<\/p>\n<p class=\"wp-block-paragraph\">California led Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon, and Washington in filing the lawsuit in the Northern District of California.<\/p>\n<div class=\"wex-inarticle-ad wex-inarticle-ad-art-dsk-inart-3\">\n<div class=\"wex-ad-wrap wex-ad-art-dsk-inart-3\" style=\"min-height:90px\"><span class=\"wex-ad-label\" hidden>Advertisement<\/span><\/p>\n<div id=\"div-gpt-ad-3182201-17\" data-wex-ad=\"art-dsk-inart-3\"><\/div>\n<\/div>\n<\/div>\n<p class=\"wp-block-paragraph\">The court filing came a few days after <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/oregon\/\" type=\"post_tag\" id=\"1417\">Oregon<\/a> withdrew its own motion to delay the proposed Paramount-Warner Bros. deal. Paramount CEO David Ellison is tied to President <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/donald-trump\/\" type=\"post_tag\" id=\"4\">Donald Trump<\/a>, who reportedly wanted Ellison to buy Warner Bros. to ultimately gain control of CNN. The cable news channel is owned by Warner Bros.
