The lawsuit says ISS favors Environmental, Social, and governance frameworks-without sufficient evidence that this benefits shareholders financially-and that it even runs an ESG consulting business that profits from the same companies it evaluates, creating a conflict similar to \u201ca health inspector selling cleaning services on the side.\u201d<\/p>\n<p>The complaint also alleges racial discrimination connected to DEI policies and procedures, claiming ISS improperly considers race and ethnicity when assessing board nominees. Nebraska points to prior state action as well: Florida Attorney General Ashley Moody\u2019s (referenced as filed in November 2025) lawsuit against ISS and Glass Lewis makes similar accusations about fiduciary duty and also raises antitrust claims, arguing the firms function as a near-duopoly because of their market dominance. Other states are expected to join the lawsuit.<\/p>\n<p>Nebraska\u2019s action follows a Florida lawsuit in November alleging similar wrongdoing by ISS.<\/p>\n<p>\u201cISS sold Nebraska investors on the promise of objective, independent research. What they were actually getting was advocacy\u2014coordinated with ESG activist organizations, untested against any financial standard, and driven by an ideological agenda that ISS never disclosed,\u201d Hilgers told the Daily Caller News Foundation. \u201cDespite heavy criticism for promising objectivity and delivering ideology, ISS has refused to make any changes. But you cannot promise one thing and deliver another in Nebraska. We are taking action to put a stop to it.\u201d<\/p>\n<p>Nebraska\u2019s suit accuses the firm of favoring Environmental, Social and Governance frameworks regardless of their clients\u2019 financial interests. Proxy advisory <a href=\"https:\/\/www.congress.gov\/119\/meeting\/house\/118422\/documents\/HHRG-119-JU05-20250625-SD003.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">firms<\/a> conduct research and advise holders how they should vote on various corporate governance matters. This includes everything from setting executive salaries to pension management.<\/p>\n<p>\u201cMissing is any financial analysis by ISS to determine whether the E&#038;S advice given was in clients\u2019 best financial interests \u2013 even though advisers have a fiduciary duty to provide such advice and Nebraska consumers count on such advice to grow their pensions and other investment accounts,\u201d Hilgers\u2019 lawsuit reads. \u201cISS itself acknowledges that its fiduciary duty to clients \u2018obliges an adviser to provide advice that is in clients\u2019 best interests.\u2019\u201d<\/p>\n<p>While advising holders to vote according to ESG principles, \u201cISS runs a parallel ESG consulting business, selling expensive services to the same companies it covers in its research reports. This is no different than a health inspector selling cleaning services on the side.\u201d<\/p>\n<p>\u201cThis is a deceptive trade practice and <a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/they-live-in-this-woke-palace-los-angeles-sheriff-goes-after-liberal-das-for-homicide-surge\/\" title=\"\u2018They Live In This Woke Palace\u2019: Los Angeles Sheriff Goes After Liberal DAs For Homicide Surge\">consumer protection action<\/a> against Defendant ISS, a highly influential investment adviser, for promising holder clients, including those in Nebraska, one thing and delivering another,\u201d the suit reads. \u201cInstead of providing its clients objective and impartial investment advice, as advertised, ISS has provided and continues to provide advice tainted by ISS\u2019 own ESG ideological considerations untethered to its clients\u2019 best financial interests and prepared in close coordination with ESG activists.\u201d<\/p>\n<p>Republican Florida Attorney General James Uthmeier\u2019s November 2025 <a href=\"https:\/\/www.myfloridalegal.com\/newsrelease\/attorney-general-james-uthmeier-sues-proxy-advisory-giants-deceiving-investors-and\" target=\"_blank\" rel=\"noopener noreferrer\">lawsuit<\/a> against ISS and Glass Lewis alleges the same ideological violations of fiduciary duty. Florida also accuses the firms of violating state <a href=\"https:\/\/www.myfloridalegal.com\/sites\/default\/files\/complaint.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">antitrust<\/a> laws. Both companies are <a href=\"https:\/\/olui2.fs.ml.com\/Publish\/Content\/application\/pdf\/GWMOL\/mliap-institutional-holder-services-brochure.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">foreign<\/a>\u2013<a href=\"https:\/\/www.pelotoncapitalmanagement.com\/partnerships\/glass-lewis\" target=\"_blank\" rel=\"noopener noreferrer\">owned<\/a>. The Multistate Proxy Advisor <a href=\"https:\/\/www.texasattorneygeneral.gov\/news\/releases\/paxton-sends-letter-woke-companies-attempting-force-holders-adopt-left-wing-agenda\" target=\"_blank\" rel=\"noopener noreferrer\">Coalition<\/a> now includes Alaska, Alabama, Florida, Indiana, Iowa, Kansas, Kentucky, Nebraska, Missouri, Montana, South Carolina, South Dakota, Tennessee, <a href=\"https:\/\/oag.state.tx.us\/es\/node\/270001\" target=\"_blank\" rel=\"noopener noreferrer\">Texas<\/a>, Utah and West Virginia.<\/p>\n<p>\u201cDefendants\u2019 anticompetitive conduct has a substantial impact on Florida commerce. Because Defendants control around 97% of the market for proxy advice, Floridians were unable to switch to an alternative and suffered a pecuniary injury as a result,\u201d the Florida suit reads.<\/p>\n<p>ISS and Glass Lewis <a href=\"https:\/\/www.responsible-investor.com\/esg-round-up-florida-ag-files-lawsuit-against-iss-and-glass-lewis\/\" target=\"_blank\" rel=\"noopener noreferrer\">denied<\/a> Florida\u2019s claims they acted as a duopoly or illegally employed ESG and DEI practices.<\/p>\n<p>Nebraska also accuses ISS of racial discrimination via DEI policies and operating procedures.<\/p>\n<p>\u201cholder clients are also misled by ISS\u2019 illegal consideration of race and ethnicity with respect to board of director candidates and a privately admitted lack of competence underlying certain of its ESG recommendations,\u201d the suit reads. \u201cThese actions have harmed Nebraska residents including by placing returns on their pensions and other investments behind promotion of ISS\u2019 own social and political agenda.\u201d<\/p>\n<p>President Donald Trump issued multiple executive orders clamping down on DEI initiatives by <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/12\/protecting-american-investors-from-foreign-owned-and-politically-motivated-proxy-advisors\/\" target=\"_blank\" rel=\"noopener noreferrer\">ISS and Glass Lewis<\/a>, <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/01\/ending-illegal-discrimination-and-restoring-merit-based-opportunity\/\">universities<\/a>, <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/01\/ending-radical-and-wasteful-government-dei-programs-and-preferencing\/\" target=\"_blank\" rel=\"noopener noreferrer\"> government<\/a> and <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/01\/ending-radical-and-wasteful-government-dei-programs-and-preferencing\/\" target=\"_blank\" rel=\"noopener noreferrer\">federal contractors<\/a>. The Trump administration also attempted to withhold funding from universities employing DEI metrics in admissions and operations, <a href=\"https:\/\/amzn.to\/3YuVZYV\" >sparking lengthy legal battles<\/a>.<\/p>\n<p>\u201cIn particular, ISS has regularly used its research to pressure companies and their directors to advance the E&#038;S components of ESG, namely climate change and diversity, equity and inclusion ideals,\u201d Nebraska\u2019s suit reads.<\/p>\n<p>The filing goes on to list several research reports allegedly exemplifying ISS\u2019 ideological motivations, including \u201cAdoption of a Climate Accountability policy, Adoption of a Say on Climate policy, Inclusion of a full-page Climate Awareness Scorecard in each report grading the company, Inclusion of a prominent QualityScore report card in each report grading the company on a variety of E&#038;S components of ESG,\u201d and \u201cAdoption of a Racial and\/or Ethnic Diversity policy.\u201d<\/p>\n<p>ISS\u2019 2026 Benchmark Voting <a href=\"https:\/\/www.iss-stoxx.com\/file\/policy\/current\/americas\/us-voting-guidelines.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Guidelines<\/a> explicitly recommends holders \u201cvote against or withhold from the chair of the nominating committee (or other directors on a case-by-case basis) at companies where there are no women on the company\u2019s board\u201d in its \u201cgender diversity\u201d section.<\/p>\n<p>\u201cISS has spent years marketing itself as a neutral, objective proxy advisor, but it is actually peddling a political agenda.
