Simultaneously occurring, there\u2019s uncertainty over whether the deal will ever receive a <a href=\"https:\/\/amzn.to\/3YuVZYV\" >full commission vote<\/a>, with Democratic commissioner Anna Gomez pushing for one.<\/p>\n<p>Legally,the merger is being challenged by two <a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/inside-the-privacy-battle-raging-between-apple-and-facebook\/\" title=\"Inside The Privacy Battle Raging Between Apple And Facebook\">antitrust lawsuits<\/a>. A preliminary injunction issued April 17 blocks the deal while the main case proceeds; Nexstar has appealed the ruling to the 9th Circuit. The lawsuits center on the FCC\u2019s 39% household reach limit, which the Media Bureau waived before approving the merger. Without further action,Nexstar could reach up to 80% of U.S. households via its planned arrangement with Tegna.<\/p>\n<p>Nexstar has criticized the attorneys general pursuing the challenge, arguing they would harm local journalism, while at least one GOP attorney general (Dave Yost of Ohio) has a separate agreement with Nexstar that would preserve editorial independence for certain stations and keeps him from joining the broader litigation.  <\/p>\n<p class=\"readmore\">\n    <button onclick=\"showReadMore()\" id=\"readmorebtn\">Read more&#8230;<\/button>\n<\/p>\n<hr id=\"line\">\n<span id=\"more\"><\/p>\n<article class=\"fn-body\">\n<p>Brendan Carr, chairman of the <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/federal-communications-commission\/\" type=\"post_tag\" id=\"1637\">Federal Communications Commission<\/a>, stressed in a recent letter to lawmakers that the FCC Media Bureau\u2019s approval of the Nexstar-Tegna <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/mergers-and-acquisitions\/\" type=\"post_tag\" id=\"616\">merger<\/a> is \u201cnot a final action by the full Commission.\u201d<\/p>\n<p>The April 13 letter, <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/thedesk.net\/wp-content\/uploads\/2026\/05\/2026-06-FCC-Carr-to-Congress-Nexstar-Tegna-merger.pdf\" type=\"link\" id=\"https:\/\/thedesk.net\/wp-content\/uploads\/2026\/05\/2026-06-FCC-Carr-to-Congress-Nexstar-Tegna-merger.pdf\">published by the agency<\/a> on Tuesday, suggested <span style=\"box-sizing: border-box; margin: 0px; padding: 0px;\">that the full commission could consider reversing the bure<\/span>au\u2019s March 19 decision to\u00a0greenlight\u00a0the <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/news\/business\/4498500\/fcc-approves-tegna-nexstar-merger-states-sought-block\/\">major broadcasting deal<\/a>. By the end of that month, Sens. There is no indication that the FCC is considering the petition at this time.<\/p>\n<p>It remains unclear whether the $6.<a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/biden-administration-inks-3-2-billion-deal-with-pfizer-for-105-million-covid-19-vaccines\/\" title=\"Biden Administration Inks .2 Billion ... with Pfizer for 105 Million COVID-19 Vaccines\">2 billion deal<\/a> will get a full panel vote, something that the agency\u2019s lone Democratic commissioner, Anna Gomez, has been requesting.<\/p>\n<p>The Nexstar-Tegna merger is facing two separate <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/tag\/antitrust\/\" type=\"post_tag\" id=\"1187\">antitrust<\/a> lawsuits. Eight blue states filed the main suit in March, but the number of plaintiffs grew to 13 last week after a few red states joined. DirecTV brought the other legal challenge.<\/p>\n<p>Chief U.S. District Judge for the Eastern District of California Troy Nunley, nominated by former President Barack Obama, issued a preliminary injunction on April 17 to halt the merger while the antitrust case proceeds. Nexstar appealed the ruling to the U.S. Court of Appeals for the 9th Circuit in San Francisco.<\/p>\n<p>At the heart of the legal scrutiny is a federal rule requiring that broadcasters reach no more than 39% of U.S. households. The FCC\u2019s Media Bureau waived that rule before approving the merger, and Carr emphasized that it had the authority to do so because the FCC rule is not a statutory limit.<\/p>\n<p>If the deal survives litigation, Nexstar would far surpass the 39% cap by reaching up to 80% of U.S. households through its partnership with Tegna.<\/p>\n<p>Nexstar blasted the state attorneys general leading the bipartisan lawsuit for \u201cstrangling local journalism\u201d by moving to block its acquisition of Tegna.<\/p>\n<p><strong><a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.washingtonexaminer.com\/news\/business\/4549887\/brendan-carr-fcc-review-disney-broadcast-license-dei-kimmel\/\">CARR SAYS FCC REVIEW OF DISNEY\u2019S BROADCAST LICENSES IS ABOUT DEI, NOT KIMMEL\u2019S TRUMP JOKES<\/a><\/strong><\/p>\n<p>\u201cThe AGs, none of whom has a track record of advocating for local media, would do well to understand the industry they purport to protect,\u201d the broadcasting company <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/x.com\/NXSTMediaGroup\/status\/2050195620787372252\" type=\"link\" id=\"https:\/\/x.com\/NXSTMediaGroup\/status\/2050195620787372252\">posted on X<\/a> late last week. \u201cAnd they should be far more wary of the real drivers of the decline of local news: the unchecked rise of Big Tech platforms, the spread of misinformation on social media, and the economic pressures that have already led to widespread newsroom closures.\u201d<\/p>\n<p>Ohio Attorney General Dave Yost, who has not joined the multistate lawsuit, has a <a target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/www.ohioattorneygeneral.gov\/Files\/Briefing-Room\/News-Releases\/2026-4-30_Nexstar_MOU.aspx\" type=\"link\" id=\"https:\/\/www.ohioattorneygeneral.gov\/Files\/Briefing-Room\/News-Releases\/2026-4-30_Nexstar_MOU.aspx\">binding agreement<\/a> with Nexstar that would allow television stations in Cleveland and Columbus to retain editorial independence and maintain separate news organizations should the merger proceed.
