Simple, right?<\/p>\n<p>Now picture this &mdash; your shareholders not only approve the compensation plan once, but twice, <a href=\"https:\/\/www.investors.com\/news\/tesla-stock-elon-musk-56-billion-paypackage-rejected-delaware-judge\/#:~:text=In%20June%2C%20some%2077%25%20of,Tesla%20in%20Texas%2C%20from%20Delaware.\" target=\"_blank\" rel=\"noreferrer noopener\">overwhelmingly<\/a>. But a man with <a href=\"https:\/\/www.indiatimes.com\/news\/world\/who-is-richard-tornetta-the-man-who-blocked-elon-musks-56-billion-payday-647370.html\" target=\"_blank\" rel=\"noreferrer noopener\">nine shares<\/a> of the company decides to sue over the compensation package, and a judge with ties to President Joe Biden&rsquo;s political circle not only rules in of the individual with nine shares but orders your company to pay an <a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/our-country-is-slipping-pastor-whose-church-was-locked-by-police-warns-of-growing-state-tyranny\/\" title=\"\u2018Our Country Is Slipping\u2019: Pastor Whose Church Was Locked By Police Warns Of Growing State Tyranny\">exorbitant legal fee<\/a>.<\/p>\n<div class=\"fdrlst__b89e9-46841d1f424c09f0785e18b7c167e102 fdrlst__b89e9-paragraph-2\" id=\"fdrlst__b89e9-46841d1f424c09f0785e18b7c167e102\"><\/div>\n<p>That&rsquo;s what happened to Tesla CEO and Founder Elon Musk. <\/p>\n<p>Even though 77 percent of Tesla&rsquo;s shareholders approved the compensation package in June 2024, Chancellor Kathaleen St. Jude McCormick of Delaware ruled shareholders didn&rsquo;t know enough when they voted (twice) and that Tesla&rsquo;s board was not independent enough for the compensation package to hold.<\/p>\n<p>To boot, McCormick awarded plaintiffs&rsquo; lawyers $345 million in legal fees &mdash; which comes out to roughly <a href=\"https:\/\/courts.delaware.gov\/Opinions\/Download.aspx?id=372420\" target=\"_blank\" rel=\"noreferrer noopener\">$18,000<\/a> per hour &mdash; because Tesla had great lawyers that forced the plaintiff lawyers to actually do work.<\/p>\n<p>&ldquo;The action was complex,&rdquo; McCormick ruled. &ldquo;Plaintiff faced some of the best law firms in the country, who put Plaintiff through their paces.&rdquo;<\/p>\n<div class=\"fdrlst__b89e9-9db85d5d268be2fb703fcc5c0e9b57a5 fdrlst__b89e9-paragraph-6\" id=\"fdrlst__b89e9-9db85d5d268be2fb703fcc5c0e9b57a5\"><\/div>\n<p>Tesla, in a <a href=\"https:\/\/x.com\/Tesla\/status\/1863730393930735634\" target=\"_blank\" rel=\"noreferrer noopener\">post on X<\/a>, called the decision &ldquo;wrong&rdquo; and vowed to appeal. <\/p>\n<p>&ldquo;A Delaware judge just overturned a supermajority of shareholders who own Tesla and who voted twice to pay @elonmusk what he&rsquo;s worth. The court&rsquo;s decision is wrong, and we&rsquo;re going to appeal. This ruling, if not overturned, means that judges and plaintiffs&rsquo; lawyers run Delaware companies rather than their rightful owners &mdash; the shareholders.&rdquo; <\/p>\n<p>This isn&rsquo;t just any &ldquo;Delaware judge,&rdquo; however, as pointed out in a post on X by anonymous account <a href=\"https:\/\/x.com\/KanekoaTheGreat\/status\/1863719111265751137\" target=\"_blank\" rel=\"noreferrer noopener\">KanekoaTheGreat<\/a>. McCormick <a href=\"https:\/\/www.youngconaway.com\/news\/meet-our-new-partners-and-counsel\/\" target=\"_blank\" rel=\"noreferrer noopener\">previously worked<\/a> at <a href=\"https:\/\/www.cnbc.com\/2019\/02\/13\/joe-biden-talks-to-democratic-donors-about-2020-presidential-run.html\" target=\"_blank\" rel=\"noreferrer noopener\">Young Conaway<\/a>, a <a href=\"https:\/\/www.law.com\/americanlawyer\/2020\/11\/02\/biden-taps-big-law-for-fundraising-haul\/\" target=\"_blank\" rel=\"noreferrer noopener\">firm<\/a> that during the 2008 Democratic primaries donated $55,000 to Biden, according to <a href=\"https:\/\/www.opensecrets.org\/news\/2017\/06\/bidens-new-pac-could-be-a-signal-or-not\/\" target=\"_blank\" rel=\"noreferrer noopener\">Open Secrets<\/a>. During the 2016 election cycle, Congressman John Carney, a &ldquo;longtime friend of the Biden family&rdquo; according to <a href=\"https:\/\/www.delawareonline.com\/story\/news\/politics\/firststatepolitics\/2015\/08\/06\/carney-biden\/31198941\/\">Delaware <\/a><a href=\"https:\/\/www.delawareonline.com\/story\/news\/politics\/firststatepolitics\/2015\/08\/06\/carney-biden\/31198941\/\" target=\"_blank\" rel=\"noreferrer noopener\">O<\/a><a href=\"https:\/\/www.delawareonline.com\/story\/news\/politics\/firststatepolitics\/2015\/08\/06\/carney-biden\/31198941\/\">nline<\/a>, hosted an event at Young Conaway, which then Vice President Joe Biden attended, according to <a href=\"https:\/\/bidenlaptopemails.com\/email.php?id=20160407-131334_57025\" target=\"_blank\" rel=\"noreferrer noopener\">emails<\/a> <a href=\"https:\/\/bidenlaptopemails.com\" target=\"_blank\" rel=\"noreferrer noopener\">purportedly<\/a> from the Hunter Biden laptop. Carney, who <a href=\"https:\/\/www.wboc.com\/news\/politics\/biden-endorses-del-governor-carney-s-re-election-campaign\/article_50625cc1-7eaa-5e02-887d-38fb47948dc2.html\" target=\"_blank\" rel=\"noreferrer noopener\">won his gubernatorial race<\/a>, later nominated McCormick to her judicial position in 2021 on the Delaware Chancery Court.<\/p>\n<p>Biden&rsquo;s son, Hunter, <a href=\"https:\/\/www.dailymail.co.uk\/news\/article-12296509\/Prosecutor-obstructed-Hunter-Biden-criminal-probe-friend-Presidents-ally.html\" target=\"_blank\" rel=\"noreferrer noopener\">claimed<\/a> in a 2018 email that he was connected to &ldquo;every judge on the chancery court.&rdquo; (McCormick was appointed three years later.) McCormick&rsquo;s ruling comes on the heels of a broader effort by the Biden administration to target Musk and other conservatives using lawfare.<\/p>\n<div class=\"fdrlst__b89e9-8fe0b816f236abfc2480cadf1816ccd6 fdrlst__b89e9-paragraph-10\" id=\"fdrlst__b89e9-8fe0b816f236abfc2480cadf1816ccd6\"><\/div>\n<p>Under Biden&rsquo;s <a href=\"https:\/\/thefederalist.com\/2024\/11\/05\/biden-harris-doj-threatens-elon-musk-with-lawfare-for-something-democrats-do-all-the-time\/\" target=\"_blank\" rel=\"noreferrer noopener\">politically weaponized Department of Justice<\/a>, Musk has been threatened with legal action for simply creating a petition that offered a few lucky winners $1 million if they signed a petition pledging to support the First and Second Amendments and $100 or less to those who successfully encouraged others to sign the petition.
