interest of the flying public, our airline customers, the employees of Spirit and Boeing, our shareholders and the country more broadly,\u201d Boeing President and CEO Dave Calhoun said in a <a href=\"https:\/\/investors.boeing.com\/investors\/news\/press-release-details\/2024\/Boeing-to-Acquire-Spirit-AeroSystems\/default.aspx\" target=\"_blank\" rel=\"noopener\" title>statement<\/a>.<\/p>\n<p>Boeing, based in Arlington, <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/virginia\/\" target=\"_blank\" rel=\"noopener\" title>Virginia<\/a>, formerly owned Spirit AeroSystems, whose headquarters are located in Wichita, <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/kansas\/https:\/\/www.washingtonexaminer.com\/tag\/kansas\/\" target=\"_blank\" rel=\"noopener\" title>Kansas<\/a>.<\/p>\n<p>\u201cBy reintegrating Spirit, we can fully align our commercial production systems, including our Safety and Quality Management Systems, and our workforce to the same priorities, incentives and outcomes \u2014 centered on safety and quality,\u201d Calhoun said.<\/p>\n<p>Safety concerns increased after the Jan. 5 blowout of a door on an Alaska Airlines 737 Max at 16,000 feet over <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/oregon\/\" target=\"_blank\" rel=\"noopener\" title>Oregon<\/a>. <\/p>\n<p>Following this incident, the <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/faa\/\" target=\"_blank\" rel=\"noopener\" title>Federal Aviation Administration<\/a> announced increased oversight of Boeing and Spirit, the supplier of the plane\u2019s fuselage, while the DOJ initiated a <a href=\"https:\/\/www.washingtonexaminer.com\/news\/justice\/2912713\/doj-opens-criminal-investigation-into-boeing-door-plug-blowout-report\/\" target=\"_blank\" rel=\"noopener\" title>criminal investigation<\/a>.<\/p>\n<p>According to Boeing, this acquisition values Spirit at $4.7 billion in equity, amounting to $37.25 per share, with the total deal valued at approximately $8.3 billion, including Spirit\u2019s reported net debt.<\/p>\n<p>Boeing is under pressure from the DOJ to plead guilty to criminal fraud related to the 2018 and 2019 crashes of its 737 Max jetliners in <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/indonesia\/\" target=\"_blank\" rel=\"noopener\" title>Indonesia<\/a> and <a href=\"https:\/\/www.washingtonexaminer.com\/tag\/ethiopia\/\" target=\"_blank\" rel=\"noopener\" title>Ethiopia<\/a>, resulting in the deaths of 346 people.<\/p>\n<figure class=\"wp-block-image size-full\"><figcaption class=\"wp-element-caption\">Boeing CEO Dave
