Most \u200bAmericans have\u200b never heard\u2062 of the\u200d ULC, even though\u200b the organization has become one of the country\u2019s most influential groups.<\/p>\n<p>If you were to call your state lawmakers, however, you\u2019d likely get an entirely \u2064different\u200d reaction. Virtually every legislator in America\u2063 is familiar with the ULC, and most \u2014 Democrats and Republicans alike \u2014 have a positive opinion \u2062of the group. That\u2019s largely because the \u2063ULC has a long\u2064 history of working closely with legislators to develop and revise the Uniform Commercial Code, a complex \u200bstate law passed in \u2063all 50 states.<\/p>\n<div class=\"fdrlst__b89e9-paragraph-2-long d-flex justify-content-center\" style=\"margin-left: auto; margin-right: auto; text-align: center; \" id=\"fdrlst__b89e9-649608377\">\n<div id=\"div-gpt-ad-1379703300879-0\" class=\"mb-30\"><\/div>\n<\/div>\n<div class=\"fdrlst__b89e9-91aad4869fb860dd3e83aabe911e08ca fdrlst__b89e9-paragraph-2\" id=\"fdrlst__b89e9-91aad4869fb860dd3e83aabe911e08ca\"><\/div>\n<p>The purpose of\u200c the\u200c Uniform Commercial Code (UCC) is to ensure that \u200bcommercial and\u200d financial activities are regulated as similarly as possible throughout the\u200b United States. Without \u200cthe UCC, conducting business in\u200d multiple \u200bstates would be extremely \u200ddifficult and costly.<\/p>\n<p>Because the Uniform Commercial Code is so complicated, legislators have trouble understanding and altering \u2062it. They depend on the Uniform Law Commission, which is mostly composed of lawyers and academics, \u2063as well as the ULC\u2019s partner organizations, to help them. As a \u2063result, the\u200b ULC has \u200bbecome so important to state lawmakers that it receives \u2064much of its funding from state appropriations. That means you,\u2062 the taxpayer, \u200dare footing the bill for the \u200bULC.<\/p>\n<p>For\u200b much of the\u200c 20th century, the ULC played an important, nonpartisan,\u200d uncontroversial role in helping states adopt uniform laws. But in recent decades, the group has become increasingly \u200dmore radical. It now\u2064 regularly pushes policymakers \u200cto adopt legislation that undermines the rights\u2063 of individuals and enhances the power of governments, large corporations, and financial institutions.<\/p>\n<p>Take, for example, the disturbing model bill titled the Public-Health Emergency Authority Act (PHEAA). The ULC drafted and formally approved PHEAA in 2023, and it\u2019s now \u2064asking \u2063legislators to pass it\u200b into law.<\/p>\n<div class=\"fdrlst__b89e9-442af88547798a9f63523a5ea2f05b68 fdrlst__b89e9-paragraph-6\" id=\"fdrlst__b89e9-442af88547798a9f63523a5ea2f05b68\"><\/div>\n<p>In the event that a \u201cpublic health \u200bemergency\u201d breaks out in the future, the\u200d PHEAA would effectively \u2064turn governors across the country into\u200d all-powerful quasi-dictators.<\/p>\n<p>Under the ULC\u2019s public health emergency bill, governors would have the \u2064right to seize control of virtually every part of\u2062 their citizens\u2019 lives. They could, for instance, regulate the \u201czoning, operation, commandeering, management, or use of buildings, shelters, \u2062facilities, \u200bparks, outdoor space, or other physical space, and the management of \u200bactivities in those places.\u201d<\/p>\n<p>They would also have the authority to single-handedly regulate \u2063public-health-related \u201ctesting, isolation, quarantine, movement, gathering, evacuation, or relocation of individuals.\u201d<\/p>\n<p>Governors could further kill, relocate, and manage plants\u2064 and animals in the \u2062state, as well as suspend \u201ca provision of any statute, order, rule, or regulation if \u200bstrict compliance would hinder efforts to \u200brespond to the <a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/federal-appeals-court-rejects-bid-to-block-biden-eviction-moratorium\/\" title=\"Federal Appeals Court Rejects Bid To Block Biden Eviction Moratorium\">public-health emergency<\/a> \u2063or pose undue hardship or risk.\u201d<\/p>\n<div class=\"fdrlst__b89e9-d7f1f2c8cddfeb361ce1babb7fc640c1 fdrlst__b89e9-paragraph-10\" id=\"fdrlst__b89e9-d7f1f2c8cddfeb361ce1babb7fc640c1\"><\/div>\n<p>The ULC would also grant\u200b governors the right to conduct unlimited \u201csurveillance, monitoring, or \u2064assessment of the public-health emergency or any of its effects.\u201d<\/p>\n<p>And although the ULC\u2019s bill suggests establishing a time limit\u2062 on the \u2063initial duration of a declared \u201cpublic\u200c health emergency,\u201d its bill would \u2064also allow governors to renew\u2064 an\u200b emergency with minimal oversight from legislatures, and to do so for an infinite number of times.<\/p>\n<p>Emergency power isn\u2019t the only troubling part\u200d of the ULC\u2019s agenda.<\/p>\n<p>In the\u2064 1990s, the ULC convinced lawmakers in every state to adopt a new\u2062 draft of the Uniform Commercial Code. The revised UCC \u200bsignificantly\u200d reduced individuals\u2019 property rights by \u2063changing rules governing the \u200bownership \u2063and management of securities.<\/p>\n<p>Stocks, bonds, <a href=\"https:\/\/www.conservativenewsdaily.net\/breaking-news\/josh-hawley-announces-bill-banning-insider-trading-in-congress\/\" title=\"Josh Hawley Announces Bill Banning Insider Trading In Congress\">exchange-traded funds<\/a>, and \u200dother\u200d common investments are classified as securities, including many\u2063 of\u2062 the investments held in retirement accounts such as 401(k)s and IRAs.<\/p>\n<p>Under the ULC\u2019s amendments passed in\u200d the 1990s, most individuals and pensions \u2062no longer directly own their investments. Instead, ownership\u2063 belongs to\u200d their bankers, brokers, or, in\u200b the vast majority of cases, the custodians holding securities on behalf of brokers or banks.<\/p>\n<p>Under this\u200b model, brokers\u2064 and\u2062 banks were able to take their clients\u2019 investments, pool them together, and then\u200d take advantage of those\u2062 investments by including them in their \u200cfinancial arrangements. This \u2063has empowered Wall \u2062Street and financial institutions to profit\u2063 substantially from\u200b their\u2063 clients\u2019 wealth, all without most \u2062people having any \u200cidea how their investments \u2064are being used.<\/p>\n<p>The ULC also convinced lawmakers to change the Uniform Commercial Code so \u2014 if a broker, such as Fidelity or Merrill Lynch, were to go bankrupt \u2014 brokers and financial institutions would typically be the first in line to collect payment on\u2064 their \u200ddebts.\u200d Individual investors and pensions were effectively \u2062pushed to the back of the\u2064 line,\u200b putting \u200dthem in grave danger of sustaining significant losses in a future financial crash.<\/p>\n<p>The ULC not only wrote and promoted the model legislation that led to these changes in the 1990s, it has also been actively fighting recent attempts by some\u200d state lawmakers to give priority back to individual investors suffering\u2064 from the bankruptcy of a broker. It seems \u2064the ULC is\u2062 only interested in helping Wall Street and too-big-to-fail banks, not individuals and pension funds.<\/p>\n<p>Additionally, the ULC has been the primary supporter of making alterations to state \u200clegal \u200ccodes\u2064 so that it would be easier for \u2064financial institutions to use\u2063 a traceable, programmable, controllable \u2063central bank digital\u2062 currency, should\u2062 the \u2062federal government ever create one.<\/p>\n<p>As all of these examples \u200dclearly illustrate, the \u2063ULC is not, as its advocates often claim, a non-ideological\u200c organization focused exclusively on convincing states to pass uncontroversial legislation about \u200ccommercial law. \u200dIn fact, it\u2019s\u200d quite the\u200d opposite.<\/p>\n<p>The ULC is one of the most\u2063 influential advocates\u2062 of freedom-killing legislation in America today, \u2062and anyone who says otherwise has either\u200d failed to study the ULC carefully or, even more \u200cdisturbingly, supports its outrageous policy proposals.<\/p>\n<hr class=\"wp-block-separator\">\n<\/div>\n<p> <\/p>\n<h2> What are the \u200bpotential risks and consequences\u2062 of \u200bsecurities lending and\u200d the ULC&#8217;s amendments to \u2064the Uniform Commercial Code for investors?<\/h2>\n<p><span>  \u2064Em together, and use them for their own purposes, such as lending\u200c them out or using them\u2063 as collateral. This practice, known as securities\u200c lending, has become a massive industry that\u2062 generates billions of dollars in revenue for brokers and \u2064banks.<\/p>\n<p>The\u200d ULC&#8217;s amendments to the Uniform Commercial Code essentially legalized\u200b securities\u2062 lending and gave brokers and banks the legal \u2064authority to use their clients&#8217; investments without\u2063 their explicit consent. This\u2062 has led to numerous cases of fraud and abuse, as \u200bbrokers and banks\u2063 have been able to engage in\u2062 risky investment practices that\u2064 put their clients&#8217; assets at risk.<\/p>\n<p>Furthermore, these amendments have also\u2064 weakened investors&#8217; \u2064ability to\u200b hold brokers and banks accountable for\u2064 any losses or damages incurred as a result\u2063 of \u2064their\u200b actions. \u2063The\u2064 ULC&#8217;s \u2063amendments \u2064include \u200bprovisions that limit investors&#8217; ability\u200c to file \u2063lawsuits \u2062or seek arbitration in cases of fraud or misconduct.<\/p>\n<p>In addition to its influence\u2064 over the \u2063Uniform Commercial Code, \u200bthe ULC has also been instrumental in shaping other areas of\u2062 law, such as property law, \u2062family law, and criminal law. \u200bThe organization has drafted model laws and encouraged lawmakers to adopt them in order to create uniformity \u2064and consistency across different jurisdictions.<\/p>\n<p>While the \u2063idea of uniform laws may seem appealing, especially \u2063in a\u200c country as vast and diverse as the United States, it is important to consider the potential consequences of \u2063such \u2064uniformity. These model laws have been adopted by\u2063 many states, leading to a erosion of individual rights\u200c and an increase in corporate power.<\/p>\n<p>It is clear that the Uniform Law Commission \u2064wields significant influence over our legal system, yet most Americans are unaware of \u200bits existence. This lack of\u200b awareness allows the organization to operate behind \u2063closed doors, shaping our\u2062 laws \u200din ways that may not align\u200c with the values\u2062 and interests of the general public.<\/p>\n<p>As citizens, it is important for us to\u200c educate ourselves about\u2064 the ULC and its impact on our legal system.
