This effort aims to \u200bbuy out\u2062 activist\u200c investors and return the company to\u2064 domestic hands.<\/p>\n<div id=\"div-gpt-ad-1663871513696-art-1\" style=\"min-width: 320px; min-height: 50px;  text-align: center;\">  \t<script>  \t\tgoogletag.cmd.push(function() { googletag.display('div-gpt-ad-1663871513696-art-1'); });  \t<\/script>  <\/div>\n<div class=\"ad-slot__ad-label\">Advertisement<\/div>\n<\/p>\n<p>Toshiba&#8217;s board initially deemed private equity\u2062 firm Japan Industrial Partners&#8217; \u2064bid \u200dof\u2062 4,620\u2062 yen-per-share ($32.44)\u200d too low \u2064to recommend \u200cto shareholders. However,\u200b it later concluded \u200bthat the price was\u200c &#8220;fair&#8221; given the unfavorable economic conditions and\u200d the absence of higher offers.<\/p>\n<p>In order for \u2063the bid to succeed, at least two-thirds of shareholders \u2063must\u200b tender their shares. While the outcome remains uncertain,\u2062 a successful\u200c bid would mark \u2064a turning\u2062 point for Toshiba after years\u2062 of upheaval.<\/p>\n<blockquote>\n<p>&#8220;Today marks a turning point for Toshiba. The company is coming\u200c out \u200dof a tunnel after eight years,&#8221; said Akihiro Watanabe, chairperson of the board, during a \u200dnews conference.<\/p>\n<\/blockquote>\n<p>Toshiba&#8217;s shares have not\u2064 surpassed 4,600 yen since the planned buyout\u200c was officially announced in late March, indicating investor uncertainty regarding the bid&#8217;s success.<\/p>\n<p>The ongoing merger talks between memory chip maker\u2063 Kioxia Holdings and Western Digital could introduce further\u2063 uncertainties. Toshiba\u2063 owns 40.6% of \u200dKioxia,\u2062 making it one of the company&#8217;s\u200c most important assets.<\/p>\n<p>Toshiba\u200b stated that it is unable to make a comprehensive assessment of the \u2062Kioxia deal at this stage, as the \u2062terms are not sufficiently definitive. However, \u2063once any deal is announced, Toshiba will \u2062promptly assess it, review the\u2064 fairness of Japan Industrial Partners&#8217; terms, and\u2064 provide its opinion.<\/p>\n<p>Regarding potential changes in circumstances over Kioxia that may lower the prospects of shareholders tendering their shares, Watanabe stated that it is ultimately \u200bup to Japan Industrial Partners to decide how to proceed.<\/p>\n<p>Mio Kato, founder of LightStream Research, believes that the \u2062bid will likely hit the \u200dtwo-thirds mark. He stated, &#8220;For activist investors, it&#8217;s\u200b a way to get capital out at reasonable if not spectacular returns.\u2062 Not too many\u200d would be \u2063underwater.&#8221;<\/p>\n<p>Some activist shareholders, although dissatisfied \u2063with the\u2062 price, are tired of years of battles with the company and are \u200beager to exit, according to \u2064sources familiar with\u2063 the matter.<\/p>\n<p>The tender offer, valuing Toshiba at 2 \u2064trillion yen, will run until September 20. It was originally \u200dscheduled\u200b to start in late July but was delayed \u2063due \u2063to regulatory reasons.<\/p>\n<p>Alongside the tender offer, \u200dapproximately \u200d20 Japanese\u2062 companies will participate. Major \u200ccontributors include chipmaker Rohm with 300 billion yen and\u200c financial services firm Orix \u200dwith 200 billion\u2064 yen.
