These endorsements may be unlawful if they do not disclose the nature, source, and amount of any compensation paid, directly or indirectly, by the company in exchange for the endorsement,\u201d The article says.<\/p>\n<p>The SEC has increased its focus on digital assets in response to a phenomenal increase in interest in this area.<\/p>\n<p>\u201cCrypto markets have exploded in recent years, with retail investors bearing the brunt of abuses in this space. Meanwhile, cyber-related threats continue to pose existential risks to our financial markets and participants,\u201d Gurbir S. Grewal, director of the SEC\u2019s Division of Enforcement, <a href=\"https:\/\/www.sec.gov\/news\/press-release\/2022-78\">In a statement<\/a>.<\/p>\n<p>The agency was almost complete in May 2022.\u00a0<a href=\"https:\/\/www.sec.gov\/news\/press-release\/2022-78\">Double the size<\/a> It increased the activity and increased the number of positions in its crypto enforcement unit to 50.<\/p>\n<p>According to a report, the SEC had a record number crypto-related enforcement actions in 2022. This was up about 50 percent over 2021. <a href=\"https:\/\/www.cornerstone.com\/wp-content\/uploads\/2023\/01\/SEC-Cryptocurrency-Enforcement-2022-Update.pdf\">Report released<\/a> Cornerstone Research, a consulting firm.<\/p>\n<p>Cornerstone Research found that in 2022 the SEC had brought 30 enforcement actions, including six administrative proceedings and 24 litigation cases in federal courts.<\/p>\n<h2>Madonna<\/h2>\n<p>One of the lawsuits was (<a href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.cacd.870128\/gov.uscourts.cacd.870128.1.0.pdf\">pdf<\/a>), which lists Madonna among the dozen or so celebrity defendants, targets\u00a0technology company Yuga Labs, which develops NFTs.<\/p>\n<p>The suit alleges that the federal securities laws and California state consumer protection regulations were violated during the time of the ahref=&#8221;https:\/\/www.theepochtimes.com\/t-celebrities&#8221;>celebrities<\/a> The allegedly promoted <a href=\"https:\/\/www.theepochtimes.com\/t-nft\">NFT<\/a> project Bored Ape Yacht Club (BAYC) in exchange for compensation\u2014but without identifying it as a paid endorsement.<\/p>\n<p>Madonna, who promoted the tokens during media interviews and on <a href=\"https:\/\/twitter.com\/Madonna\/status\/1507183071551971330?s=20&#038;t=TopJ-y8nmTAimnNbgclyKQ\">social media<\/a>According to the complaint, he was awarded a BAYC NFT of almost $500,000 as compensation.<\/p>\n<p>The promise of a star-struck investor attracted them. \u201cjoining the club\u201d\u2014i.e., buying one of the BAYC tokens\u2014would provide them with access to events, benefits, and \u201clucrative investment opportunities,\u201d The complaint states.<\/p>\n<p>\u201cUnsuspecting investors\u201d The tokens were purchased at \u201cdrastically inflated prices,\u201d Only to be struck later \u201cstaggering losses.\u201d<\/p>\n<p>In a statement, Yuga Labs&#8217; representative stated that the lawsuit was without merit and that Yuga Labs never paid anyone to promote NFTs.<\/p>\n<p>Madonna\u2019s representative told media outlets that she paid for her Bored Ape token.\u00a0The case continues.<\/p>\n<h2>Are NFTs Securities<\/h2>\n<p>Experts believe that the NFTs must be approved by the U.S. Supreme Court in order to succeed in the lawsuit \u201cHowey test,\u201d It is used to determine what something is under securities law. \u201cinvestment contract\u201d It is therefore important to have a \u201csecurity.\u201d<\/p>\n<p>An asset or arrangement that is considered security must be an investment of money, in a common enterprise, provide a reasonable expectation to profit, and have been derived from the efforts others.<\/p>\n<p>\u201cCourts have not yet addressed whether they are securities, and the SEC has not taken a clear position on the question,\u201d\u00a0O\u2019Melveny &#038; Myers LLP, a California-based multinational law firm, <a href=\"https:\/\/www.omm.com\/resources\/alerts-and-publications\/alerts\/howey-should-think-about-nfts-and-securities-laws\/\">In a memo<\/a> NFTs: What is their legal status?<\/p>\n<p>Alma Angotti, a former senior enforcer with the U.S. Treasury Department\u2019s Financial Crimes Enforcement Network, <a href=\"https:\/\/news.artnet.com\/market\/yuga-labs-scott-and-scott-lawsuit-2152636\">Artnet News &#8211;<\/a> She believes some NFTs could be securities. (Zach Bolinger\/AP Photo)<\/figure>\n<h2>Other Lawsuits<\/h2>\n<p>Another suit (<a href=\"https:\/\/docs-cdn-prod.news-engineering.aws.wapo.pub\/publish_document\/12afdf1a-a614-48a8-88e5-aa0e9e581c6f\/published\/12afdf1a-a614-48a8-88e5-aa0e9e581c6f.pdf\">pdf<\/a>), whose named defendants include NFL quarterback Tom Brady, is focused on A-lister endorsements of the defunct crypto platform FTX.<\/p>\n<p>The complaint claims that the defendants violated Florida securities laws and consumer protection laws by failing to disclose their financial arrangements.<\/p>\n<p>According to the lawsuit, FTX yield-bearing account fall under the SEC&#8217;s umbrella for securities. It claims that customers of FTX engaged with the platform to trade on the platform. \u201cunregistered securities\u201d The celebrity endorsers ought to have disclosed this fact. \u201cpaid exorbitant sums of money to peddle FTX to the nation.\u201d<\/p>\n<p>Brady\u2019s attorney has declined to comment on the case, which is ongoing.<\/p>\n<p>FTX founder Sam Bankman Fried, who is alleged to have committed one of America&#8217;s biggest financial frauds, faces criminal and civil penalties.<\/p>\n<p>Another case was settled in December 2022. Floyd Mayweather Jr. and Kim Kardashian were named as defendants in a case involving their promotion for the cryptocurrency EthereumMax. (Paul Morigi\/Getty Images)<\/figure>\n<p>The judge explained the dismissal by saying that the plaintiffs didn\u2019t provide enough evidence that the celebrity defendants meant to mislead investors.<\/p>\n<p>\u201cWhile the law certainly places limits on those advertisers, it also expects investors to act reasonably before basing their bets on the\u00a0<i>zeitgeist<\/i>\u00a0of the moment,\u201d Judge Michael Fitzgerald of U.S. District Court, Central District of California said in a court record.<\/p>\n<p>Kardashian\u2019s lawyer told media outlets that his client is \u201cpleased with the court\u2019s well-reasoned decision.\u201d<\/p>\n<p>Reality TV&#8217;s star <a href=\"https:\/\/www.sec.gov\/news\/press-release\/2022-183\">Earlier agreed<\/a> SEC charges against her for promoting EthereumMax, without her disclosing that she had been paid $250,000 to post an Instagram post about it.
