The agencies have 30 days from the notification to pursue an initial investigation of the transaction to determine whether additional information is needed to assess its legality. \u00a0Neither agency requested additional information.\u00a0<\/p>\n<table class=\"stock-fundamentals\">\n<thead>\n<tr>\n<th class=\"ticker\">Ticker<\/th>\n<th class=\"security\">Security<\/th>\n<th class=\"last\">Last<\/th>\n<th class=\"change\">Change<\/th>\n<th class=\"percent\">Change %<\/th>\n<\/tr>\n<\/thead>\n<tbody>\n<tr>\n<td class=\"ticker\"><a href=\"https:\/\/www.foxbusiness.com\/quote?stockTicker=TWTR\">TWTR<\/a><\/td>\n<td class=\"security\">TWITTER INC.<\/td>\n<td class=\"last\">40.16<\/td>\n<td class=\"change pos\">+0.25<\/td>\n<td class=\"percent pos\">+0.63%<\/td>\n<\/tr>\n<tr><\/tr>\n<\/tbody>\n<\/table>\n<p>While the expiration of the HSR waiting period has been satisfied, Twitter emphasized that the deal&#8217;s completion is still subject to remaining customary closing conditions, including shareholder and remaining applicable regulatory approvals.\u00a0<\/p>\n<p>The deal, which would take Twitter private at $54.20 per share, is expected to close in 2022.\u00a0<\/p>\n<p><a href=\"https:\/\/www.foxbusiness.com\/markets\/twitter-shareholders-elon-musk-lawsuit\"><strong><u>TWITTER SHAREHOLDERS ACCUSE MUSK OF MANIPULATING STOCK AMID $44B TAKEOVER BID<\/u><\/strong><\/a><\/p>\n<p>The latest development comes after Musk said the <a href=\"https:\/\/www.foxbusiness.com\/markets\/elon-musk-tweets-that-deal-for-twitter-is-on-hold\" target=\"_blank\" rel=\"noopener\"><u>deal would be temporarily put on hold<\/u><\/a> as he awaits calculations supporting the social media giant&#8217;s internal estimate that spam and fake accounts make up less than 5% of the platform&#8217;s users. \u00a0<\/p>\n<p>Musk, who has vowed to <a href=\"https:\/\/www.foxbusiness.com\/technology\/elon-musk-vows-to-defeat-the-spam-bots-or-die-trying-if-twitter-bid-succeeds\" target=\"_blank\" rel=\"noopener\"><u>crack down on Twitter&#8217;s spam bots<\/u><\/a>, has said <a href=\"https:\/\/www.foxbusiness.com\/markets\/elon-musk-sec-twitter-spam-fake-accounts\" target=\"_blank\" rel=\"noopener\">he believes at least 20% of its users are spam or fake accounts<\/a> and that he would be willing to renegotiate the deal for a lower price proportionate to the total percentage.<\/p>\n<div class=\"inline image-ct\">\n<div class=\"m\"><source media=\"(max-width: 767px)\" \/><source media=\"(min-width: 768px) and (max-width: 1023px)\" \/><source media=\"(min-width: 1024px) and (max-width: 1279px)\" \/><source media=\"(min-width: 1280px)\" \/><img decoding=\"async\" src=\"https:\/\/a57.foxnews.com\/static.foxbusiness.com\/foxbusiness.com\/content\/uploads\/2021\/12\/931\/523\/Parag-Agrawal-elon-musk.jpg?ve=1&#038;tl=1\" alt=\"Musk, Twitter, deal\" \/><\/div>\n<div class=\"caption\">\n<p><span>Twitter CEO Parag Agrawal, Tesla CEO Elon Musk\u00a0<\/span><span> (\u00a0Twitter\/Reuters)<\/span><\/p>\n<\/div>\n<\/div>\n<p>At Twitter&#8217;s annual shareholder meeting, CEO Parag Agrawal said that the company was <a href=\"https:\/\/www.foxbusiness.com\/markets\/twitter-musk-acquisition-annual-meeting\" target=\"_blank\" rel=\"noopener\"><u>&#8220;working through&#8221; the transaction<\/u><\/a> but declined to comment further due to &#8220;regulatory and other reasons.&#8221; Agrawal has previously said that an <a href=\"https:\/\/www.foxbusiness.com\/business-leaders\/elon-musk-poop-emoji-twitter-ceo-spam-fake-accounts\" target=\"_blank\" rel=\"noopener\"><u>external review to determine the percentage would be difficult<\/u><\/a> given the &#8220;critical need to use both public and private information.&#8221;<\/p>\n<p>In the <a href=\"https:\/\/www.foxbusiness.com\/markets\/twitter-earnings-elon-musk-acquisition\" target=\"_blank\" rel=\"noopener\"><u>first quarter of 2022<\/u><\/a>, Twitter&#8217;s monetizable daily active user (mDAU) base grew 15.9% year-over-year to 229 million, including 39.6 million daily active users in the U.S. and 189.4 million international daily active users.<\/p>\n<p><a href=\"https:\/\/www.foxbusiness.com\/apps-products\" target=\"_blank\" rel=\"noopener\"><strong><u>GET FOX BUSINESS ON THE GO BY CLICKING HERE<\/u><\/strong><\/a><\/p>\n<p>Musk <a href=\"https:\/\/www.foxbusiness.com\/markets\/elon-musk-twitter-tender-offer\" target=\"_blank\" rel=\"noopener\"><u>initially planned<\/u><\/a> to finance the Twitter deal with $21 billion in equity and $25.5 billion in loans.<\/p>\n<p>Approximately $12.5 billion in margin loan financing was pledged against Musk&#8217;s Tesla shares. The margin loan financing was later <a href=\"https:\/\/www.foxbusiness.com\/markets\/elon-musk-funding-twitter-acquisition\" target=\"_blank\" rel=\"noopener\"><u>reduced from $12.5 billion to $6.25 billion<\/u><\/a>, while his equity financing increased to $27.25 billion.<\/p>\n<p>Musk has since <a href=\"https:\/\/www.foxbusiness.com\/markets\/elon-musk-twitter-financing-shares-jump\" target=\"_blank\" rel=\"noopener\">pledged an additional $6.25 billion in equity<\/a>, bringing the total portion to $33.5 billion and eliminating the margin loan financing.
