Bentsen, Jr., president and CEO\u00a0of the Securities Industry and Financial Markets Association said in an April 15 editorial in <a href=\"https:\/\/thehill.com\/opinion\/finance\/3267550-too-much-too-quickly-from-the-sec\/\" target=\"_blank\" rel=\"noopener\">The Hill<\/a>.<\/p>\n<p>That may only be the beginning. Bentsen noted that last fall, the SEC released its list of upcoming new rules with <a href=\"https:\/\/www.reginfo.gov\/public\/do\/eAgendaMain?operation=OPERATION_GET_AGENCY_RULE_LIST&#038;currentPub=true&#038;agencyCode=&#038;showStage=active&#038;agencyCd=3235&#038;csrf_token=BE4F9317D217B943E573A6C611ED0FA9476204D948D5D1A24B3900A8C272ADA7A2D3D4085128188C63C8D40B1848324D224D\" target=\"_blank\" rel=\"noopener\">54 separate items<\/a> on the list.<\/p>\n<\/div>\n<h2 class=\"ArticleBody-subtitle\">A plea for more money, particularly for enforcement<\/h2>\n<div class=\"group\">\n<p>On the surface, these are routine budgetary hearings, part of Congress&#8217; oversight of federal agencies.\u00a0The President Joe Biden&#8217;s 2023 budget calls for an 8% increase in the SEC&#8217;s funding, but Gensler will ask for more money, even though the agency is primarily funded by fees on securities transactions.<\/p>\n<p>&#8220;The sheer growth and added complexity in the capital markets continue to necessitate greater resources for the SEC,&#8221; Gensler said in prepared remarks for the subcommittee, noting a particular need for more staff at the Division of Enforcement.\u00a0<\/p>\n<p>&#8220;The additional staff will provide the Division with more capacity to investigate misconduct and accelerate enforcement actions,&#8221; Gensler said.<\/p>\n<\/div>\n<h2 class=\"ArticleBody-subtitle\">Gensler&#8217;s agenda is aggressive. Wall Street is not happy<\/h2>\n<div class=\"group\">\n<p>&#8220;This is one of the largest regulatory agendas we have seen from the SEC in many years,&#8221; Amy Lynch, president of FrontLine Compliance and a former SEC compliance official, told me back in February.<\/p>\n<p>Since then, the <a href=\"https:\/\/www.cnbc.com\/2022\/02\/04\/sec-chair-gary-gensler-embarks-on-ambitious-regulatory-agenda-what-it-means-for-investors.html\">agenda has only gotten bigger<\/a>. Gensler has proposed rules on <a href=\"https:\/\/www.cnbc.com\/2022\/01\/25\/sec-chair-eyes-tougher-cyber-rules-to-protect-investors-against-hackers.html\">cybersecurity risk management<\/a>, loaning and borrowing of securities, reporting of <a href=\"https:\/\/www.cnbc.com\/2022\/02\/25\/new-sec-short-sale-rules-would-force-investors-to-submit-updates-each-month.html\">short positions<\/a> by investment managers, shortening the settlement cycle for stock trading, pay versus performance for corporate executives, enhanced disclosure around <a href=\"https:\/\/www.cnbc.com\/2021\/12\/09\/sec-chair-gensler-seeks-tougher-spac-disclosure-liability-rules.html\">special purpose acquisition companies<\/a> (SPACs), as well as enhanced disclosure around <a href=\"https:\/\/www.cnbc.com\/2021\/12\/15\/sec-wants-stronger-insider-trading-rules-as-elon-musk-jeff-bezos-sell-billions-in-stock.html\">insider trading<\/a> and corporate buybacks.<\/p>\n<p>David Franasiak, an attorney with Williams &#038; Jensen who follows corporate issues in Washington, told me corporate America is starting to push back.<\/p>\n<p>&#8220;He is likely to receive supportive comments from Democrats, while the Republicans are going to say this is too much, too fast, too soon,&#8221; he told me.<\/p>\n<p><strong>Environmental, social and governance (ESG) and climate change:<\/strong> In one of his most controversial proposals, Gensler has put forward a <a href=\"https:\/\/www.cnbc.com\/2022\/03\/21\/the-sec-wants-to-know-a-lot-more-about-what-companies-are-doing-about-climate-change.html\">new rule on climate change disclosure<\/a> that would require registrants to provide climate-related information in their registration statements and annual report<\/p>\n<p>The Republicans, Franasiak told me, &#8220;will see all this climate disclosure as outside the reach of the SEC.&#8221;<\/p>\n<p>Separately, Gensler is also seeking disclosure about diversity of corporate board members and nominees, as well as \u00a0additional disclosure on how companies manage their workforce.<\/p>\n<p><strong>Crypto and bitcoin ETFs:<\/strong> There is also the crypto crowd.\u00a0They are furious that Gensler has made it clear he is opposed to a pure-play bitcoin ETF, while supporting bitcoin futures ETFs.\u00a0<\/p>\n<p>Here, however, Gensler may be well prepared to defend his <a href=\"https:\/\/www.cnbc.com\/2022\/04\/04\/sec-chairman-proposes-expanded-protections-for-crypto-investors.html\">cautious position<\/a> on crypto.<\/p>\n<p>Franasiak said that if asked Gensler is likely to highlight the recent threat to the investing public from the <a href=\"https:\/\/www.cnbc.com\/2022\/05\/17\/tether-usdt-redemptions-fuel-fears-about-stablecoins-backing.html\">stablecoin debacle<\/a> and will likely note the need for increased enforcement efforts.<\/p>\n<p>&#8220;Given the <a href=\"https:\/\/www.cnbc.com\/2022\/05\/16\/what-happened-to-the-bitcoin-reserve-behind-terras-ust-stablecoin.html\">recent disasters<\/a> around stablecoins, he may have some cover,&#8221; Franasiak told me.\u00a0<\/p>\n<p>In his prepared remarks, Gensler hinted he would adopt just such a position. &#8220;The volatility in the crypto markets in recent weeks highlights the risks to the investing public,&#8221; he said.<\/p>\n<\/div>\n<h2 class=\"ArticleBody-subtitle\">Wall Street:\u00a0We don&#8217;t have enough time to respond<\/h2>\n<div class=\"group\">\n<p>The sheer quantity of regulations is one issue, but corporate America is also complaining the SEC is not giving them enough time to respond to the proposed regulations.<\/p>\n<p>Generally, the public has at least 60 days to comment on a rule after its publication in the Federal Register, and in certain circumstances that can be extended to 90 days. However, under Gensler, the SEC has often shortened the comment period, with some as short as 30 days.<\/p>\n<p>&#8220;[W]e are limited in our ability to conduct a robust analysis and provide meaningful feedback by the SEC&#8217;s shortened comment periods,&#8221; Bentsen said.
