Ron DeSantis vowed Tuesday to hold Twitter board members \u201caccountable\u201d for adopting a \u201cpoison pill\u201d over Elon Musk\u2019s offer.<\/p>\n<p>Twitter board members <a href=\"https:\/\/www.businessinsider.com\/twitter-confirms-poison-pill-against-elon-musk-more-bidders-emerge-2022-4\" target=\"_blank\" rel=\"noopener noreferrer\">recently confirmed<\/a> their \u201c<a href=\"https:\/\/dailycaller.com\/2022\/04\/14\/twitter-board-elon-musk-sale-poison-pill-saudi-arabia\/\" target=\"_blank\" rel=\"noopener noreferrer\">poison pill<\/a>\u201d defense to Musk\u2019s $43.4 billion offer to buy the social media company. The \u201cpoison pill\u201d is a shareholder\u2019s plan to <a href=\"https:\/\/www.nytimes.com\/2022\/04\/14\/business\/elon-musk-twitter-financing.html?smtyp=cur&#038;smid=tw-nytimes\" target=\"_blank\" rel=\"noopener noreferrer\">limit<\/a> a single shareholder from purchasing too many shares and forcing the company into a sale. Musk became the largest shareholder after <a href=\"https:\/\/dailycaller.com\/2022\/04\/04\/elon-musk-largest-twitter-shareholder-stock-options\/\" target=\"_blank\" rel=\"noopener noreferrer\">purchasing<\/a> 9.2% stake in early April.<\/p>\n<p>\u201cThe state of Florida and our pension system, we have shares of Twitter. I didn\u2019t buy it, we have people that run the fund but, nevertheless, it hasn\u2019t exactly been great in returns on investment. It\u2019s been pretty stagnant for many, many years,\u201d the governor said. \u201cBut nevertheless, I think that\u2019s probably an injury to the fund, so we\u2019re going to be looking at ways that the state of Florida potentially can be holding these Twitter board of directors accountable for breaching their fiduciary duty.\u201d<\/p>\n<p><strong>WATCH:<\/strong><\/p>\n<p>The \u201cpoison pill\u201d also allows for shareholders to buy more stock at a cheaper price and potentially dilute Musk\u2019s ownership stake to prevent him from purchasing the entire company. The Tesla CEO <a href=\"https:\/\/dailycaller.com\/2022\/04\/18\/elon-musk-twitter-board-salary\/\" target=\"_blank\" rel=\"noopener noreferrer\">said<\/a> Thursday that board members would be breaching their fiduciary duty if they take \u201cactions contrary to shareholder interests.\u201d <strong><a href=\"https:\/\/dailycaller.com\/2022\/04\/14\/says-something-you-dont-like-elon-musk-free-speech-looks-like\/\" target=\"_blank\" rel=\"noopener noreferrer\">(RELATED: \u2018Says Something You Don\u2019t Like\u2019: Elon Musk Explains What \u2018Healthy, Functioning Free Speech Looks Like)\u00a0<\/a><\/strong><\/p>\n<p>\u201cIf the current Twitter board takes actions contrary to shareholder interests, they would be breaching their fiduciary duty,\u201d Musk tweeted Thursday. \u201cThe liability they would thereby assume would be titanic in scale.\u201d<\/p>\n<p>Musk <a href=\"https:\/\/dailycaller.com\/2022\/04\/18\/elon-musk-twitter-board-salary\/\" target=\"_blank\" rel=\"noopener noreferrer\">announced<\/a> Monday that Twitter board members would receive a $0 salary if his bid succeeds. He has also told TED head Chris Anderson that he has a \u201c<a href=\"https:\/\/dailycaller.com\/2022\/04\/14\/elon-musk-plan-b-twitter-rejects-offer-to-sell\/\" target=\"_blank\" rel=\"noopener noreferrer\">Plan B<\/a>\u201d if his multibillion dollar offer does not go through, but went into no specifics.<\/p>\n<\/p><\/div>\n","protected":false},"excerpt":{"rendered":"<p>Republican Florida Gov.
