The report says that Musk hired Morgan Stanley to raise $10 billion in debt against Twitter \u201cin the manner of a traditional leveraged buyout.\u201d<\/p>\n<p>The co-investors \u201cwill finance a hostile tender offer directly to Twitter shareholders,\u201d the report said. \u201cMusk is planning to launch the tender offer for Twitter in 10 days or so.\u201d<\/p>\n<p>Musk hinted at the tender offer in a cryptic tweet that he posted over the weekend when he tweeted \u201cLove Me Tender\u201d along with musical note emojis on Saturday, leading to speculation that the word \u201ctender\u201d could be \u201ca likely wink-and-nod reference to a potential tender offer to Twitter Inc. shareholders for control of the company,\u201d Bloomberg News\u00a0<a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2022-04-17\/musk-keeps-investors-on-their-toes-with-love-me-tender-tweet\">reported<\/a>. \u201cIf Twitter directors ultimately reject him, the world could learn whether Musk was truly threatening a direct appeal to shareholders or had just added the 1956 Elvis Presley hit \u2018Love Me Tender\u2019 to his playlist.\u201d<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">\ud83c\udfb6 Love Me Tender \ud83c\udfb6<\/p>\n<p>\u2014 Elon Musk (@elonmusk) <a href=\"https:\/\/twitter.com\/elonmusk\/status\/1515405264740134918?ref_src=twsrc%5Etfw\">April 16, 2022<\/a><\/p>\n<\/blockquote>\n<p>The U.S. Securities and Exchange Commission (SEC)\u00a0<a href=\"https:\/\/www.investor.gov\/introduction-investing\/investing-basics\/glossary\/tender-offer\">notes<\/a>\u00a0that a \u201ctender offer\u201d is \u201cis typically an active and widespread solicitation by a company or third party (often called the \u2018bidder\u2019 or \u2018offeror\u2019) to purchase a substantial percentage of the company\u2019s securities.\u201d<\/p>\n<p>A tender offer is only available for a short period of time and is made to everyone who owns stock in the company.
